ClipCall Prime Terms

Welcome to the terms and conditions for ClipCall Prime (the “Prime Terms”). These Prime Terms are a legal agreement between you and ClipCall Inc. and/or its affiliates (“ClipCall“, or “we” and its derivatives) and govern our respective rights and obligations regarding the ClipCall Prime Subscription Service (“ClipCall Prime”). Please note that your use of the ClipCall App and ClipCall Prime are also governed by our Terms of Use (the “Terms”),  Privacy Policy, and all other applicable policies related to our Services we may notify you of as set forth in the Terms, all of which (as we may modify over time as set forth in the Terms) are incorporated into these Prime Terms. If you sign up for a Prime subscription, you accept these Prime Terms and all incorporated terms, conditions, limitations and requirements. Capitalized words used but not defined herein have the meanings set forth in the Terms.

ClipCall Prime Benefits

Current ClipCall Prime benefits are detailed in the Prime benefits section.

From time to time, we may modify the CliipCall Prime Benefits or offer different subscription terms, and the fees for such modified or other subscriptions may vary. The ClipCall Prime subscription fee is non-refundable. Taxes may apply to either or both of the subscription fee and the reduced Project fee for ClipCall Prime members, as set forth in the Terms.

ClipCall Prime Subscription Fees

CLIPCALL Prime subscriptions are billed monthly, and autorenew until cancelled. UNLESS YOU NOTIFY US BEFORE A CHARGE IS APPLIED TO YOUR CLIPCALL PRIME SUBSCRIPTION THAT YOU WANT TO CANCEL YOUR SUBSCRIPTION AT THE END OF THE THEN-CURRENT MONTH, YOU UNDERSTAND YOUR CLIPCALL PRIME SUBSCRIPTION WILL AUTOMATICALLY CONTINUE AND YOU AUTHORIZE US (WITHOUT NOTICE TO YOU, UNLESS REQUIRED BY APPLICABLE LAW) TO COLLECT THE THEN-APPLICABLE SUBSCRIPTION FEE AND ANY TAXES, USING ANY ELIGIBLE PAYMENT METHOD WE HAVE ON RECORD FOR YOU.

If all eligible Payment Methods we have on file for your Account are declined for payment of your monthly ClipCall Prime subscription fee, you must provide us a new eligible Payment Method promptly or your ClipCall Prime subscription will be canceled subject to the “ClipCall Prime Cancellation” section below. If you provide us with a new eligible Payment Method and we successfully process your subscription fee, your new subscription period will be based on the original renewal date and not the date of the successful charge.

Other Limitations
  • We reserve the right to accept or refuse any ClipCall Prime subscription in our sole discretion.
  • We may send you email and other communications related to ClipCall Prime and your ClipCall Prime subscription as set forth in the Terms.
  • You may not transfer or assign your ClipCall Prime subscription or any related benefits, including promotion codes for ClipCall Prime subscriptions or benefits.
  • From time to time, we may choose in our sole discretion to add or remove ClipCall Prime benefits.
ClipCall Prime Cancellation

You may cancel your ClipCall Prime subscription at any time by emailing support@clipcall.it. Upon cancelation, we may immediately charge your Payment Method for:  

  • The balance of any unpaid installments selected when your ClipCall Prime subscription was in effect If you chose to pay for a Project with 12 interest-free installments.
  • The one-time discount(s) you received for any Project completed within six (6) months of the date your ClipCall Prime subscription is canceled. 
Chargebacks

you acknowledge and agree that if you elect to make a chargeback for a Project that you paid for as a ClipCall Prime subscriber we will immediately cancel your ClipCall Prime subscription and your participation in ClipCall Prime  as well as charge your Payment Method for (as applicable):

  • Any unpaid installments payments principal balance for a Project paid for with the financing option.
  • Monthly interest of 1% on any unpaid installment balance from the date of the first installment payment was due.
  • The discount you received for the Project if you selected the discount option.
Prime Terms Changes

We may change the Prime Terms at any time in our sole discretion. We will notify you of changes by posting the revised Prime Terms on this page and in the ClipCall App as set forth in the Terms. Revised Prime Terms will be effective thirty (30) days after they are posted for existing Prime subscribers and immediately for new Prime subscribers, provided, however, that if we modify the Subscription pricing, you will have sixty (60) days to terminate your current Subscription without penalty prior to such new pricing taking effect. YOUR CONTINUED SUBSCRIPTION AFTER WE CHANGE THESE PRIME TERMS CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO ANY CHANGES, YOU MUST CANCEL YOUR SUBSCRIPTION.

Interpretation

These Prime Terms are subject to all standard provisions of the Terms, including those with respect to termination of the Services, limitation of liability, severability, choice of law, interpretation, etc.
